Reminder and three quick things:

First, a reminder that the Matanuska Valley Sportsmen’s Annual General Membership Meeting will be held February 11, 2010 at 7:00 PM at the MVS indoor range located at mile 38.5 Glenn Highway.

Three (3) Board of Directors positions are up for a vote, and a motion to go to a tiered membership will be brought before the membership for a vote.


Second, come and run for a position on the Board of Directors, or nominate someone who would help further the Matanuska Valley Sportsmen’s mission objectives. We need interested, energetic people who are willing to donate their time to the furthering of these three (3) core objectives:

1. To educate and promote gun safety to all interested parties.

2. To unite in one group sportsmen interested in the wise use of natural resources and the
improvement of facilities and personal enjoyment of each.

3. To encourage members to promote social activities related to sportsmen’s activities.

Serving on the Board of Directors is a great honor, and requires a serious commitment from interested parties. The organization needs individuals who can help serve all of the club’s more than 1400 members

Third, come out on Thursday, February 11, 2010 to vote on the tiered membership proposal.


Pursuant to a motion passed by the Board of Directors, the membership will vote on February 11, 2010 on proposed changes in membership to help insure a quorum for conducting club business.

The motion reads as follows:

“Motion to notify membership that we propose a bylaw amendment of voting membership, regular and Day membership in order to gain a quorum at the annual meeting and meet insurance requirements. E. Lackey, 2nd Bob L. Amendment will be available Feb, 4 at the range. Passed Unanimous”


The Board of Directors reviewed the membership survey on the quorum issue. A majority of members (55%) who responded to the survey were in favor a tiered membership to solve our quorum issues.


The proposal that the membership will vote on reads as follows:
Change the Articles of Incorporation (Article VIII) to authorize the three year terms established by the Board. (Change “…who shall serve for one year terms…” to read “ …who shall serve for three year terms… “)

Effective 15 February 2010:

“There will be three levels of membership.

Day Membership. This level entitles the member to use the range. Its duration shall be one calendar day and is renewable with no limits. No voting privileges accrue to this membership level nor do these members count for the establishment of a quorum.

Regular Membership. This level entitles the member to use the range repetitively for the duration of the membership period. The membership period shall be for one year, expiring on the last day of the month during which the member joined after one calendar year. No voting privileges accrue to this membership level nor do these members count for the establishment of a quorum. All gratuitous memberships (RSO, Instructors, etc.) will be at this level.

Executive Membership. This level entitles the member to use the range repetitively for the duration of the membership period. The membership period shall be for one year, expiring on the last day of the month during which the member joined after one calendar year. Only this membership level is entitled to vote on issues brought before the membership and only this membership level counts for the establishment of a quorum.

All life memberships will be at the Executive Membership level. All other memberships, except the day membership, may be upgraded to the executive level by paying the difference in fee between the two; however, the duration of the membership will remain as originally established in the regular membership. The Board of Directors shall set the fees structure for each level of membership.
All members running for election to the Board of Directors must be members at the Executive Level and all directors must maintain an executive level membership.



Change the By-Laws as follows:

ARTICLE III – MEMBERSHIP
Section 1. Membership in the MATANUSKA VALLEY SPORTSMEN, Inc. shall be encouraged and allowed for any citizen of the United States of America or person who is sponsored by a member of MATANUSKA VALLEY SPORTSMEN, INC. free from discrimination on the basis of race, religion, color, national origin, age, sex, or handicap. All applications for membership shall be by written application. The Board of Directors shall establish the application form used. There shall be three levels of membership:

Day Membership. This level entitles the member to use the range. Its duration shall be one calendar day and is renewable with no limits. No voting privileges accrue to this membership level nor do these members count for the establishment of a quorum.

Section 2. Membership duration will be as depicted in the membership level definition. Members are also encouraged to also be members of the National Rifle Association so the MATANUSKA VALLEY SPORTSMEN, INC. will remain affiliated with the National Rifle Association.
Section 3. The membership fees shall be proposed by the Board of Directors and set at a regular or special meeting of the membership by a vote of the executive membership, and shall be changed in the same manner. All life memberships will be at the Executive Membership level. All other memberships, except the day membership, may be upgraded to the executive level by paying the difference in fee between the two; however, the duration of the membership will remain as originally established in the regular membership.

Section 4. A Special Membership may be established by the Board of Directors. Such members may have all of the privileges as a regular member. The fee for a special membership may be different than for a regular membership. A senior membership will be at the Regular Membership level.
Section 5. Membership cards will be issued for both Regular and Executive level memberships.
Section 6. Any member of this corporation may be suspended for just cause from all privileges of membership by a two-thirds majority vote of the Executive membership present at a regular or special meeting of the membership provided said member shall have had at least ten (10) days written notice of the proposed suspension and is given an opportunity to be heard at that meeting.

ARTICLE IV – MEETINGS, REGULAR OR SPECIAL
Section 1. There may be a regular meeting of the membership for the purpose of discussing the business of the corporation and proposals for action on such matters as the Board of Directors or the Executive membership may bring to the floor. Regular meetings may be held each month on a day designated by the Board of Directors. Regular meetings may be scheduled as needed by the Board of Directors.
Section 2. Special meetings may be called at any time by the president or a majority of the Board of Directors by a notice to the Regular and Executive members mailed at least five (5) days prior to the special meeting. The topic(s) of the special meeting will be included in the notice and no topic(s) other than those noticed will be discussed or acted upon.
Section 3. At any regular or special meeting of the membership, five percent (5%) of the executive membership will be constitute a quorum. No exceptions to this requirement are authorized. No business shall be transacted at any meeting unless there is a quorum present. A majority of those Executive Members present and eligible to vote shall approve any question except the suspension of a member or a by-law change. Each member shall have one vote, except that family memberships shall have only one vote on any question. Voting by proxy shall not be permitted.
Section 4. The annual meeting of the membership shall be at the February meeting. Election to the Board of Directors shall take place at the annual meeting of the membership. Of those nominated for election to the Board of Directors, those having the most votes shall be elected. All members running for election to the Board of Directors must be members at the Executive level and all Directors must maintain an Executive level membership.

ARTICLE V – BOARD OF DIRECTORS
Section 3. The term of office of the Board of Directors shall be for three (3) years with a limit of service to three (3) consecutive terms.”
